• Starting Businesses

  • Incorporate private limited company, company limited by guarantee, public company.

• Compliance Services

  1. Maintain and update the statutory books and records in compliance with the Companies Act, 1965 and any other regulatory requirements such as the Listing Requirements of the Bursa Malaysia Securities Bhd (Bursa Securities), Malaysian Exchange of Securities Dealing and Automated Quotation (MESDAQ) and Securities Commission Requirements.
  2. Provide named secretary in compliance with Section 139A of the Companies Act, 1965.
  3. Provide agent for foreign company.
  4. Provide Registered Office address.
  5. Attend meetings of clients, write minutes and advise on relevant issues.
  6. Lodge requisite statutory forms and returns with various regulatory authorities including making relevant announcements to Bursa Securities and submission of the announcements to SC.

• Advisory

  • Advise on the compliance of Companies Act, 1965, as well as requirements of Bursa Securities, MESDAQ, Securities Commission and the Foreign Investment Committee.
  • Advise on duties and responsibilities of directors of company.
  • Advise on types of meeting your company needs as well as boardroom conduct. Prepare and arrange necessary documents for the meetings and any general compliance with the provisions of the Companies Act, 1965, and requirements of Bursa Securities and MESDAQ.

• Special Services

  • Assist in striking off of companies pursuant to Section 308 of the Companies Act, 1965, voluntary winding-up pursuant to Section 254 of the Companies Act, 1965 and de-register foreign companies pursuant to Section 308 of the Companies Act, 1965.
  • Provide other related secretarial works such as assist in special assignments/corporate exercises e.g. status conversion of company, flotation of company on Bursa Securities and MESDAQ, share buyback schemes, and amendments of Memorandum and Articles of Association.
  • Carry out full company searches at the Companies Commission of Malaysia.

Going Public

  • Incorporate/convert to public company.
  • Assist on pre-listing exercise.
  • Attend Due Diligence Meetings.
  • Ensure compliance with Securities Commission Guidelines, Listing Requirements of Bursa Securities.

 

Share Registration Services

  • Set up and maintain the Register of Members (ROM) in compliance with the Companies Act, 1965, Listing Requirements of Bursa Securities and MESDAQ, Rules of Bursa Malaysia Depository Sdn Bhd (Bursa Depository) and provide public access to the ROM as provided by relevant laws.
  • Provide routine reports services.
  • Attend to and liaise with Bursa Securities, Bursa Depository and other regulatory bodies on all matters relating to the shares/securities of the company.
  • Despatch annual reports, notices of meetings, dividend warrants and other circulars to share/securities holders of the company.
  • Provide advisory services/ assist in share registration matters such as corporate restructuring exercises.
  • Provide services in reconciliation of Unclaimed Dividends and compliance with the provisions of the Unclaimed Monies Act, 1965.
  • Attend shareholders’ meeting of the company.

 

Accounting/ Treasury and Payroll Services

• Accounting and Book Keeping

  • Maintain accounting records on monthly, quarterly or yearly basis.
  • Prepare periodic management accounts and annual financial statements in accordance with the relevant accounting standards and statutory requirements.
  • Liaise and coordinate with the company’s auditors in carrying out their annual audits and to facilitate the audit to be completed on time.
  • Set up and implement accounting and internal control systems.
  • Manage client’s funds and operations of bank accounts.
  • Assist in arranging and effecting relevant payments or deposits.
  • Maintain fixed assets register.
  • Prepare cashflow and profit projections.
  • Second our personnel to client’s accounting function.
  • Monitor and supervise the performance of client’s accounting department and personnel.
  • Control payments including acting as cheque signatories.
  • Develop accounting policies and procedures manual.

• Payroll and related services

  • Assist in computing client’s payroll in accordance with the Malaysian Employment Act, 1955.
  • Assist in arranging and effecting salary payments to client’s staff.
  • Arrange for Employees’ Provident Fund (EPF), Social Security Organisation (SOCSO), Income Tax and other mandatory and relevant deductions.
  • Maintain routine liaisons with the relevant government authorities such as the Inland Revenue Board, EPF Board and SOCSO Board.
  • Assist in submission of returns to Inland Revenue Board, EPF Board and SOCSO Board.
  • Assist in registration with the relevant authorities changes in employees.
  • Provide advisory services on the requirements of the Malaysian Employment Act, 1955.
